Engagements
Paid work begins only when scope, fee, and delivery window are confirmed in writing (email is sufficient). You must provide accurate mandate information. We may decline or pause work if information is incomplete or if the requested output would constitute regulated advice we are not engaged to provide.
Intellectual property
Impact memoranda and briefs remain our intellectual property until fees due for that engagement are paid in full. Upon payment, you receive a licence to use the deliverable internally within your organisation. Redistribution to third parties or publication requires our prior written consent.
Liability
To the fullest extent permitted by law, Devkernel Base is not liable for decisions made solely on the basis of a review, for market outcomes after a release, or for indirect or consequential losses. Our aggregate liability for a given engagement is limited to the fees paid for that engagement. Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or other liability that cannot be limited under English law.
Governing law
These terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, except that we may seek injunctive relief in other jurisdictions to protect intellectual property.
Changes
We may update these terms by posting a revised version on this page. Continued use of the site after posting constitutes acceptance of the revised terms.
